Terms of Service

These Terms of Service ("Terms") are an agreement between you and OpenVet, Inc., which operates OpenAnimal ("OpenAnimal," "we," "us," or "our"). They govern your access to OpenAnimal's websites, applications, communications, and related consumer services (collectively, the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms.

Important: Section 16 contains an individual arbitration agreement and class-action and jury-trial waivers that affect how disputes are resolved. You may opt out within 30 days as described there.

1. Agreement and eligibility

You must be at least 18 years old and legally able to enter a contract to use the Service. If you use the Service for a business or organization, you represent that you have authority to bind it, and "you" includes that business or organization. The Service is not directed to children under 13.

If you do not agree to these Terms, do not use the Service. Additional terms presented for a particular feature, subscription, promotion, or integration also apply. If they conflict with these Terms, the more specific terms control for that feature.

2. The Service

OpenAnimal helps pet owners collect and organize pet information, upload and share records, communicate with authorized people, and use automated tools to search, summarize, and understand records. Some features may be experimental, available only to invited users, or labeled beta, preview, or early access.

Subject to these Terms, OpenAnimal gives you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for lawful personal and household purposes. We may impose reasonable limits to protect users, animals, third parties, and the Service.

3. Veterinary and AI disclaimer

OpenAnimal is not a veterinarian, veterinary clinic, emergency service, or substitute for professional veterinary judgment.

  • No veterinary relationship. Using OpenAnimal does not create a veterinarian-client-patient relationship. OpenAnimal does not examine your animal, diagnose disease, prescribe medication, or provide treatment.
  • No emergencies. Do not use the Service for emergencies. If an animal may be in danger, is seriously ill or injured, or needs urgent attention, contact a licensed veterinarian or emergency veterinary clinic immediately.
  • AI can be wrong. Automated extraction, summaries, answers, classifications, reminders, risk indicators, and other outputs may be inaccurate, incomplete, outdated, or inappropriate for your pet. Verify important information against original records and with a licensed veterinary professional.
  • Educational information only. Content about health, nutrition, behavior, longevity, risk, costs, or care is general information. Estimates and projections are illustrative, are not guarantees, and should not determine care without professional review.
  • Not a medical device. Unless a feature expressly states otherwise and has received any required authorization, the Service is not intended to function as a regulated medical device.
  • Independent professionals. Veterinarians, clinics, and other professionals available through or connected to the Service are independent from OpenAnimal unless expressly stated. They are responsible for their own professional services, advice, records, licensing, and legal duties.

You are responsible for decisions about an animal's health and safety. Do not delay or disregard professional veterinary advice because of anything displayed by the Service.

4. Accounts and security

Provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for activity under your account. Do not share credentials or let another person impersonate you. Notify us promptly at hello@openanimal.ai if you suspect unauthorized access. We may require identity or ownership verification before restoring access or acting on a request.

5. Pet records and user content

"User Content" means information you submit to the Service, including pet profiles, health records, files, photos, recordings, messages, prompts, feedback on outputs, and community posts. As between you and OpenAnimal, you retain the rights you hold in your User Content.

You give OpenAnimal a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, analyze, extract from, display, transmit, and otherwise process User Content only as reasonably needed to operate, secure, support, and improve the Service; follow your sharing instructions; and comply with law. This license lasts while the content is stored or needed for those purposes, subject to the retention terms in our Privacy Policy. We may use aggregated or de-identified information that does not reasonably identify you, subject to applicable law.

You represent that you own User Content or have all permissions needed to submit and process it as described here. Do not upload records for an animal you are not authorized to manage or unnecessary sensitive personal information about another person. You remain responsible for your User Content and for maintaining copies of records you need; the Service is not the official system of record of a veterinarian or clinic.

6. Sharing and connections

The Service may let you invite household members or caregivers and connect with veterinarians, clinics, or other services. You direct those disclosures and are responsible for choosing recipients and permission levels. A recipient may download, copy, or retain information. Removing access stops future access through OpenAnimal but does not retrieve exported copies or override an independent recipient's legal or professional retention duties.

Do not rely on the Service as the only way to deliver time-sensitive information. Confirm directly with the intended recipient when delivery is important to an animal's care.

7. Acceptable use

You may not use the Service to:

  • break the law, violate another person's rights, or facilitate fraud;
  • harm, neglect, abuse, or endanger an animal or person;
  • impersonate someone, misrepresent authority, or access another account or record without permission;
  • upload malware or interfere with the Service's operation, security, or availability;
  • harass others or post content that is unlawful, infringing, deceptive, defamatory, or exploitative;
  • scrape, crawl, probe, benchmark, or access the Service by automated means except through interfaces we authorize;
  • reverse engineer, decompile, bypass safeguards or rate limits, discover source code, or extract models, model weights, system prompts, or training data, except where law expressly permits it; or
  • resell, sublicense, or use the Service or its outputs to build or train a competing product without our written permission.

We may investigate suspected violations and remove content, restrict features, or suspend access when reasonably necessary to protect the Service, users, animals, or others.

8. OpenAnimal ownership and feedback

OpenAnimal and its licensors own the Service, including its software, design, branding, documentation, and content we provide, excluding User Content. These Terms do not transfer any ownership rights. If you provide suggestions or feedback, you give us a perpetual, worldwide, irrevocable, royalty-free right to use it without restriction or compensation, but we do not own the underlying personal or pet information included in it.

9. Paid services, subscriptions, and renewal

Prices, included features, billing intervals, trial terms, renewal terms, taxes, and any additional purchase conditions will be shown before you buy. If you purchase an automatically renewing subscription, you authorize recurring charges at the disclosed interval until you cancel. Cancel using the method shown at purchase or in your account settings before the next renewal to avoid the next charge.

Charges are non-refundable except as stated at purchase or required by law. Purchases made through an app store are also subject to that store's billing, cancellation, and refund rules. We may change future prices or plan features with the advance notice required by law. Ending a subscription may reduce feature access but does not automatically delete your account or records.

10. Third-party services

The Service may contain links to or integrations with third-party services, devices, app stores, professionals, or content. Their terms and privacy policies apply to them. OpenAnimal does not control and is not responsible for independent third-party services. A link or integration does not imply endorsement.

If you download an OpenAnimal application from Apple or Google, the app store is not responsible for the Service, support, or claims relating to it, except to the extent its platform terms require otherwise.

11. Privacy

Our Privacy Policy explains how we collect, use, share, retain, and protect information and describes available privacy choices. Please read it before using the Service.

12. Service changes, beta features, and termination

The Service will evolve. We may add, change, limit, suspend, or discontinue features. We will give reasonable notice when a material change adversely affects a paid subscription, unless immediate action is needed for legal, security, safety, or technical reasons. Beta and early-access features may be incomplete, change without notice, and contain errors.

You may stop using the Service at any time and may request account deletion as described in the Privacy Policy. We may suspend or terminate access if you materially or repeatedly violate these Terms, create legal or security risk, fail to pay, or use the Service in a way that could harm users, animals, OpenAnimal, or others. Where appropriate, we will give notice and an opportunity to appeal or export available records. Sections that by their nature should survive termination will survive, including ownership, payment obligations, warranty disclaimers, liability limits, indemnity, and dispute terms.

13. Disclaimers of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available." OpenAnimal disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and that the Service will be uninterrupted or error-free.

We do not warrant any health, behavioral, financial, longevity, or other outcome for an animal. Some jurisdictions do not allow certain warranty disclaimers, so parts of this section may not apply to you.

14. Limits on liability

To the maximum extent permitted by law, OpenAnimal and its officers, directors, employees, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or use, arising from or relating to the Service or these Terms, even if advised of the possibility.

To the maximum extent permitted by law, their total aggregate liability for all claims arising from or relating to the Service or these Terms will not exceed the greater of US $100 or the amount you paid OpenAnimal for the Service during the 12 months before the event giving rise to the claim.

These limits do not apply where prohibited, including to liability that cannot lawfully be limited. Your non-waivable consumer rights remain in effect. The limitations reflect the allocation of risk between you and OpenAnimal and are an essential basis of the agreement.

15. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless OpenAnimal and its officers, directors, employees, and affiliates from third-party claims, liabilities, damages, judgments, losses, and reasonable legal costs arising from your unlawful misuse of the Service, your User Content, or your material violation of these Terms or another person's rights. This obligation does not apply to the extent a claim was caused by OpenAnimal's own unlawful conduct, negligence, or willful misconduct. We may control the defense and settlement, and you will reasonably cooperate; we will not settle a claim in a way that admits your fault or imposes a non-monetary obligation on you without consent.

16. Dispute resolution, arbitration, and class waiver

Informal resolution first

Before filing a claim, you and OpenAnimal agree to try to resolve it informally for 30 days. Send a written notice describing your name, account email, the facts, and requested relief to hello@openanimal.ai with the subject "Legal Dispute." We will send notice to your account email. Any limitations period is tolled during this 30-day process where permitted.

Individual binding arbitration

Except for the exclusions below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs this section. The arbitrator may award the same individual remedies a court may award. Unless the parties agree otherwise, a hearing may occur remotely or in the county where you live. OpenAnimal will pay arbitration fees to the extent required by the AAA rules or applicable law.

Exceptions

Either party may bring an individual action in small claims court if it qualifies. Either party may seek temporary or preliminary injunctive relief in court to prevent imminent unauthorized access, misuse, or infringement of intellectual property while arbitration is pending. Nothing prevents you from reporting an issue to a government agency or regulator.

Class-action and jury-trial waiver

Claims may be brought only on an individual basis, not as a plaintiff or class member in a class, collective, coordinated, consolidated, mass, or representative action. The arbitrator may award relief only to the individual party seeking it. You and OpenAnimal waive any right to a jury trial to the fullest extent permitted by law.

30-day right to opt out

You may opt out of this arbitration agreement by emailing hello@openanimal.ai within 30 days after you first accept these Terms. Use the subject "Arbitration Opt Out" and include your full name, account email, and an unambiguous statement that you opt out of arbitration. Keep proof of sending. Opting out will not affect your account or other Terms. If you validly opt out, or if this arbitration section is found unenforceable for a claim, that claim will be resolved exclusively in the courts identified in Section 17, subject to applicable law.

17. Governing law and venue

Delaware law governs these Terms, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs Section 16. For claims not subject to arbitration, you and OpenAnimal consent to exclusive jurisdiction in the state and federal courts located in Delaware. This choice does not deprive you of mandatory consumer protections or a forum available under the law where you live.

18. Changes to these Terms

We may update these Terms as the Service and law evolve. We will post the revised version and update the date above. For material changes, we will provide additional notice as required and state when the new Terms take effect. Changes do not retroactively alter dispute terms for a claim that arose before the change. If you do not agree to an update, stop using the Service before it takes effect.

19. Miscellaneous

These Terms and incorporated feature-specific terms are the entire agreement between you and OpenAnimal about the Service and replace earlier agreements on the same subject. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain effective, except as otherwise stated in Section 16. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law. We are not liable for delay or failure caused by events beyond our reasonable control. Headings are for convenience.
